The assets had been transferred around two months before Dynegy Holdings filed for Chapter 11 protection last Nov. 7, intending to restructure more than $4 billion of debt.[/font][/color][color=#000000][font=arial, helvetica, sans]
Bondholders objected, saying they would suffer losses while Dynegy shareholders including billionaire financier Carl Icahn and the Seneca Capital hedge fund would be protected.[/font][/color][color=#000000][font=arial, helvetica, sans]
"The conveyance of CoalCo to Dynegy was an actual fraudulent transfer ... and a breach of fiduciary duty by the board of directors of Dynegy Holdings," Kirpalani wrote. "To remedy the injustice occasioned upon Dynegy Holdings and, derivatively, its creditors, CoalCo should be deemed the property of Dynegy Holdings' bankruptcy estate."[/font][/color][color=#000000][font=arial, helvetica, sans]
Kirpalani added that it would be inconsistent with public policy to allow four Dynegy Holdings directors -- a majority of the board -- who also sat on Dynegy Inc's board at the time of the transfer to continue as directors.[/font][/color]
