[u][b]Term[/b][/u]

2.01 Initial Term. The initial term of this Agreement shall be for Twelve (12) months
commencing on the date the Employee arrives at the Company and begins working on a
Company assignment or project (the “Commencement Date”), and expiring eighteen (12) months
after the Commencement Date (the “Termination Date”) subject, however, to earlier termination
as hereinafter provided. Employee agrees that if an assignment or project extends or is ongoing
after the Termination Date or the Employee is scheduled to start a project after the Termination
Date, the term of this Agreement shall be automatically extended until the completion of the
assignment or project (the “Term Date”).

[u][b]2.02 Damages for Breach of Term Provision[/b][/u]. The Employee acknowledges the time,
efforts and resources the Company has and agrees to expend in employing Employee. Employee
understands that the Company is depending on the Employee to implement projects with the
clients and the company will suffer damages if Employee terminates the employment prior to the
Commencement Date, Term Date or Termination Date. The Employee agrees that the liquidated
damages amount is a reasonable forecast of the just compensation due to the Company for
Employee’s breach in which the monetary damages are difficult to assess accurately. The
Employee agrees that if the Employee terminates this Agreement prior to the Termination Date
or Term Date, the Employee will pay the Company a sum of Two Thousand Five Hundred
Dollars ($2,500.00) for every month remaining on the Term Date or Termination Date,
whichever is later, as a liquidated damages sum for the breach of this provision only which is in
addition to any other damages Company may seek for a breach of any other provision in this
Agreement including but not limited to, the non-solicitation and non-competition provisions of
this Agreement. The liquidated damage amount for a breach of the term provision shall apply if
Employee fails to join Company after executing the Agreement even if Employee is not yet
placed on an assignment or project.

without cause with no advance written or oral notice to the Employee. The Employee may
terminate this Agreement after the Termination Date or Term Date, whichever is later, by
