clause in breif: we agree not to transfer billing to another firm and / or accept payments from another firm or the client or the primary vendor or the mid vendor for the project you are currently working or will be working in future.

Bottomline: Your Employer/Prime Vendor should agree and provide non compete relieving  document to client for their conversion. If that was not provided, he can proceed legally.

Prime vendor gave clearance to client that tgere are no legal obligations with me even after showing this clause.
